End User License Agreement (EULA)

This End User License Agreement (“Agreement”) is a legal agreement between you (“User” or “You”) and TEESWEB UK LTD (“Company,” “We,” “Us,” or “Our”), a company registered in England and Wales with company number 07809440, whose registered office is at Unit A, 82 James Carter Road, Mildenhall, Bury St. Edmunds, England, IP28 7DE. By purchasing, downloading, installing, or using any WordPress plugins (“Plugins”) sold by TEESWEB UK LTD, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not purchase, download, install, or use the Plugins.

1. Grant of License

Subject to your compliance with this Agreement, TEESWEB UK LTD grants you a non-exclusive, non-transferable, revocable license to:

• Use the Plugin(s) on the number of websites specified in your purchased license tier.
• Modify the Plugin(s) for your own use.

2. Restrictions

You are expressly prohibited from:

• Redistributing the Plugin(s) in any form, whether modified or unmodified.
• Reselling, sublicensing, leasing, or otherwise commercializing the Plugin(s).
• Sharing license keys or allowing unauthorized users to access or use the Plugin(s).
• Reverse engineering, decompiling, or disassembling the Plugin(s) for any purpose other than personal modification.

3. Ownership

TEESWEB UK LTD retains all ownership rights, title, and interest in and to the Plugin(s), including all intellectual property rights. This Agreement does not transfer ownership of the Plugin(s) to you.

4. Modifications

You are permitted to modify the Plugin(s) for your own use. However, any modified versions of the Plugin(s) remain subject to the terms of this Agreement and may not be redistributed or resold.

5. License Validation

To ensure compliance with this Agreement, the Plugin(s) may include a license validation system that:

• Requires you to activate the Plugin(s) using a valid license key.
• Periodically checks the validity of your license key.
• Disables functionality if the license key is invalid or used on an unauthorized domain.

6. Support and Updates

• Support and updates are provided only to users with valid licenses.
• TEESWEB UK LTD reserves the right to discontinue support or updates for any Plugin(s) at any time.

7. Termination

This Agreement is effective until terminated. TEESWEB UK LTD may terminate this Agreement immediately if you breach any of its terms. Upon termination:

• You must cease all use of the Plugin(s) and delete all copies from your website(s).
• Any license keys issued to you will be deactivated.

8. Disclaimer of Warranties

The Plugin(s) are provided “as is” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. TEESWEB UK LTD does not guarantee that the Plugin(s) will meet your requirements or operate error-free.

9. Limitation of Liability

In no event shall TEESWEB UK LTD be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use or inability to use the Plugin(s), even if advised of the possibility of such damages. Our total liability to you for any claim arising under this Agreement shall not exceed the amount you paid for the Plugin(s).

10. Governing Law

This Agreement is governed by and construed in accordance with the laws of England and Wales. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Entire Agreement

This Agreement constitutes the entire agreement between you and TEESWEB UK LTD regarding the Plugin(s) and supersedes all prior agreements, understandings, or representations.

Acceptance of Terms

By purchasing, downloading, installing, or using the Plugin(s), you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement.
